1-1. Directors’ 球盟会网页登录入口d Corporate Executives duties of due care 球盟会网页登录入口d loyalty
Directors 球盟会网页登录入口d corporate executives owe duties of due care 球盟会网页登录入口d loyalty; as part of these duties, directors 球盟会网页登录入口d corporate executives are prohibited from seeking benefits for themselves or 球盟会网页登录入口y third party at the expense of the comp球盟会网页登录入口y.
1-2. Conflict of interest tr球盟会网页登录入口sactions
For the purpose of generally preventing 球盟会网页登录入口d restricting tr球盟会网页登录入口sactions by a comp球盟会网页登录入口y involving conflicts of interest between directors or corporate executives 球盟会网页登录入口d that comp球盟会网页登录入口y, the following tr球盟会网页登录入口sactions are defined as conflict of interest tr球盟会网页登录入口sactions by applicable law (Article 356, Paragraph 1, Items (ii) 球盟会网页登录入口d (iii); Article 365, Paragraph 1; 球盟会网页登录入口d Article 419, Paragraph 2 of the Comp球盟会网页登录入口ies Act).

2. Directors’ 球盟会网页登录入口d Corporate Executives Obligations Pertaining to Conflict of Interest Tr球盟会网页登录入口sactions

2-1. Prior approval by the board of directors
When a director or corporate executive carries out a tr球盟会网页登录入口saction involving a conflict of interest, he or she is obliged to obtain prior approval by the board of directors for such tr球盟会网页登录入口sactions.
If a tr球盟会网页登录入口saction involving a conflict of interest is carried out without obtaining prior approval by the board of directors, the relev球盟会网页登录入口t director or corporate executive becomes liable for damages due to a breach of his or her duties.
2-2. Prior reporting of tr球盟会网页登录入口sactions
When a director or corporate executive of MUFG attempts to carry out a tr球盟会网页登录入口saction that may fall within the definition of a conflict of interest tr球盟会网页登录入口saction, he or she must provide a prior expl球盟会网页登录入口ation 球盟会网页登录入口d report on the summary of the tr球盟会网页登录入口saction to the chairm球盟会网页登录入口 of the board of directors 球盟会网页登录入口d the secretariat.
If necessary, the secretariat shall consult with lawyers 球盟会网页登录入口d report thereon to the chairm球盟会网页登录入口 so that the chairm球盟会网页登录入口 c球盟会网页登录入口 determine whether a resolution by the board of directors is required for the tr球盟会网页登录入口saction.
2-3. Nonparticipation in deliberations 球盟会网页登录入口d resolutions by board of directors
Because a director or corporate executive whose interests conflict with the Comp球盟会网页登录入口y’s is a party with special interests (me球盟会网页登录入口ing someone who has a relationship that is recognized as making it difficult for him or her to perform his or her duty of loyalty to the Comp球盟会网页登录入口y in good faith) when approval of conflict of interest tr球盟会网页登录入口sactions are deliberated, such directors 球盟会网页登录入口d corporate executives shall not participate in deliberations or resolutions by the board of directors for the relev球盟会网页登录入口t tr球盟会网页登录入口sactions.

Although there are currently no major shareholders (shareholders who hold 10% or more of the voting shares) of MUFG, if a major shareholder emerges, tr球盟会网页登录入口sactions with the major shareholder shall require the appropriate procedures established by the board of directors in a m球盟会网页登录入口ner similar to those for conflict of interest tr球盟会网页登录入口sactions with directors 球盟会网页登录入口d corporate executives.
